Terms of Trade
Please read these terms and conditions carefully before doing business with us.
1. General Terms
These Terms of Trade govern all business transactions between the buyer and our company. By placing an order, you agree to be bound by these terms.
2. Product Specifications
- All products are subject to availability
- Specifications may vary slightly due to natural variations in seafood
- Product images are for reference only
- All products meet international food safety standards
- Certificates of origin and quality are provided upon request
3. Pricing and Payment
Pricing:
- All prices are in USD unless otherwise stated
- Prices are FOB (Free On Board) unless specified
- Prices are subject to change without notice
- Minimum Order Quantity (MOQ) applies to all products
Payment Terms:
- Payment via Letter of Credit (L/C) or Telegraphic Transfer (T/T)
- For new customers: 30% deposit, 70% before shipment
- For established customers: Net 30 days from invoice date
- Late payments may incur interest charges
4. Ordering Process
Order Confirmation:
- All orders must be confirmed in writing
- A proforma invoice will be issued for approval
- Orders are binding once the deposit is received
Lead Time:
- Standard processing time: 14-21 days after deposit
- Expedited orders available upon request (additional charges apply)
- Lead times may vary depending on product availability
5. Shipping and Delivery
- All products shipped via refrigerated containers
- Shipping terms: FOB, CFR, or CIF (as agreed)
- Buyer responsible for customs clearance and import duties
- Risk transfers to buyer upon loading at port of origin
- Shipping documents provided: Commercial Invoice, Packing List, Bill of Lading, Certificate of Origin, Health Certificate
6. Quality Assurance
We guarantee that all products:
- Meet international food safety standards (HACCP, ISO certified)
- Are handled and stored at proper temperatures
- Comply with destination country regulations
- Are inspected by third-party agencies if required
7. Claims and Returns
Quality Claims:
- Claims must be submitted within 3 days of receipt
- Photographic evidence required
- Third-party inspection reports may be requested
- Valid claims will be resolved through credit note or replacement
Return Policy:
- Returns accepted only for proven quality defects
- Buyer bears return shipping costs for non-defective products
- Perishable goods cannot be returned after 48 hours of delivery
8. Force Majeure
We are not liable for delays or failures in performance resulting from acts beyond our reasonable control, including but not limited to natural disasters, strikes, government actions, or pandemic situations.
9. Limitation of Liability
Our liability is limited to the invoice value of the goods supplied. We are not liable for any indirect, consequential, or special damages.
10. Governing Law
These terms are governed by the laws of Indonesia. Any disputes shall be resolved through arbitration in Jakarta, Indonesia.
